1. Introduction
1.1 These Terms & Conditions ("Terms") govern all services provided by Valkrest Limited ("Valkrest", "we", "our", "us") to any client ("the Client", "you", "your").
1.2 By engaging Valkrest's services or using our website, you agree to these Terms.
1.3 Any variation to these Terms must be agreed in writing.
2. Services
2.1 Valkrest provides financial strategy, advisory, and business performance services.
2.2 The scope, objectives, and deliverables of services will be set out in a Proposal, Engagement Letter, or Statement of Work agreed with the Client.
2.3 Valkrest does not provide regulated investment advice, legal advice, or tax advice unless expressly stated in writing.
3. Engagement & Term
3.1 An engagement will commence on the date specified in the Proposal or Engagement Letter.
3.2 Services may be ongoing, project-based, or retainer-based, as agreed in writing.
3.3 Either party may terminate the engagement in accordance with Section 10.
4. Fees & Payment
4.1 Fees for services will be agreed in writing prior to commencement.
4.2 Invoices are payable within 14 days of the date of issue unless otherwise agreed in writing.
4.3 All fees are exclusive of VAT and any other applicable taxes.
4.4 Valkrest reserves the right to suspend services where invoices remain unpaid after the due date.
5. Client Responsibilities
5.1 The Client shall provide timely access to personnel, information, and systems necessary for the provision of services.
5.2 The Client is responsible for ensuring that all information supplied to Valkrest is accurate, complete, and not misleading.
5.3 Valkrest will not be liable for any delays, errors, or losses resulting from incomplete or inaccurate information provided by the Client.
6. Confidentiality
6.1 Both parties shall keep confidential any information obtained in connection with the services, unless disclosure is required by law or consented to in writing.
6.2 This obligation shall survive termination of the engagement.
7. Intellectual Property
7.1 All intellectual property in Valkrest's methodologies, frameworks, tools, templates, and materials remains the property of Valkrest.
7.2 The Client is granted a non-exclusive, non-transferable licence to use deliverables for internal business purposes only.
7.3 The Client may not reproduce, distribute, or commercially exploit Valkrest's materials without written consent.
8. Limitation of Liability
8.1 Valkrest will exercise reasonable skill and care in the provision of services.
8.2 Valkrest shall not be liable for:
- Loss of profit, revenue, goodwill, or business opportunity;
- Indirect, special, or consequential losses.
8.3 Valkrest's total liability to the Client shall not exceed the total fees paid by the Client in the 12 months prior to the claim.
8.4 Nothing in these Terms excludes liability for death, personal injury, or fraud caused by negligence.
9. Conflicts of Interest
9.1 Valkrest will notify the Client promptly of any actual or potential conflicts of interest.
9.2 Where a conflict cannot be managed satisfactorily, Valkrest may decline or terminate the engagement.
10. Termination
10.1 Either party may terminate the engagement by giving 30 days' written notice.
10.2 Valkrest may terminate immediately if:
- The Client fails to pay fees when due;
- The Client breaches these Terms and fails to remedy within 14 days;
- Continuing the engagement would result in a breach of law or regulation.
10.3 On termination, all outstanding fees become immediately payable.
11. Data Protection
11.1 Both parties agree to comply with applicable data protection laws, including the UK GDPR and Data Protection Act 2018.
11.2 Valkrest's Privacy Policy, available on our website, explains how personal data is processed.
12. Governing Law & Jurisdiction
12.1 These Terms are governed by the laws of England and Wales.
12.2 The parties submit to the exclusive jurisdiction of the courts of England and Wales.
13. Entire Agreement
13.1 These Terms, together with any agreed Proposal or Engagement Letter, form the entire agreement between Valkrest and the Client.
13.2 They supersede all previous understandings, communications, or agreements.
